These Terms of Service (“Terms”) govern your access to and use of the Buyastone, Inc. website at buyastone.com (the “Site”) and your purchase of products or services from Buyastone, Inc. (“Buyastone,” “we,” “us,” or “our”).

By visiting the Site, submitting an order, approving a custom design, or purchasing a product or service, you agree to these Terms and any policies referenced in them. If you do not agree, you may not use the Site or purchase from us.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order. If you use the Site on behalf of a business or another person, you represent that you have authority to bind that business or person to these Terms.

2. Products and Services

Buyastone offers fine jewelry, diamonds, gemstones, custom jewelry design, engraving, resizing, alteration, heirloom remakes, and related products and services.

We make reasonable efforts to describe our products accurately. However:

  • Photographs, videos, renderings, and CAD images are provided for reference and may not display exact colors, proportions, scale, finish, or appearance.

  • Natural diamonds, gemstones, and precious metals may have variations, inclusions, characteristics, textures, or color differences.

  • Measurements, weights, carat weights, and dimensions may be approximate unless expressly stated otherwise.

  • A custom piece may contain reasonable handmade or production variations from a rendering or sample.

  • Product availability, stone availability, specifications, and pricing may change without notice.

These natural or reasonable variations are not defects.

3. Pricing and Quotes

Prices are stated in U.S. dollars unless otherwise indicated. Taxes, shipping, delivery, insurance, sizing, customization, and other charges may be added where applicable.

Custom-order quotes are based on the specifications, materials, gemstone availability, and market prices existing when the quote is issued. A quote may expire on the date stated in the quote or, if no date is stated, after 30 days.

We may correct typographical errors, inaccurate descriptions, or pricing mistakes. If an error affects an order, we may contact you for approval of the corrected terms or cancel the affected order. If we cancel an order after collecting payment, we will refund the amount collected for the canceled portion.

4. Orders and Payment

Submitting an order does not guarantee acceptance. We may accept, reject, limit, or cancel an order for reasons including product unavailability, suspected fraud, payment problems, pricing errors, inaccurate information, or inability to complete the requested work.

You agree to provide complete and accurate billing, shipping, contact, sizing, and payment information. You represent that you are authorized to use the payment method submitted.

Payment schedules for custom work may be provided in a separate quote, invoice, design approval, or project agreement. Unless otherwise agreed in writing, all required payments must be made before an item is shipped or delivered.

If we cancel an accepted order for reasons unrelated to your breach, fraud, payment failure, or failure to provide required information or approvals, we will refund amounts paid for the canceled work.

5. Custom and Personalized Orders

Custom, made-to-order, engraved, resized, altered, personalized, and heirloom-remake orders are created according to customer-selected specifications.

You are responsible for carefully reviewing all designs, renderings, measurements, sizing, spelling, stone selections, metal selections, engraving, and other specifications before approving production.

Your written or electronic approval of a design, rendering, quote, invoice, or specifications authorizes us to begin or continue production. Once approval is given:

  • Payments and deposits are nonrefundable;

  • Cancellation may not be possible;

  • Requested changes are not guaranteed;

  • Changes may involve additional charges and production time; and

  • The completed item will be considered conforming if it substantially matches the approved specifications, subject to reasonable production and material variations.

We may make minor technical adjustments that are reasonably necessary for structural integrity, stone security, manufacturing, finishing, or wearability.

Completion and delivery dates are estimates unless we expressly guarantee a date in writing.

6. Customer-Provided Designs and Materials

If you provide a stone, gemstone, diamond, precious metal, jewelry item, photograph, drawing, logo, inscription, design, or other material, you represent that:

  • You own it or have permission to use it;

  • It is not stolen, counterfeit, or subject to another person’s rights;

  • The information you provide about it is accurate to the best of your knowledge; and

  • Our requested use of it will not infringe another person’s intellectual-property or other legal rights.

You grant Buyastone a limited license to use customer-provided designs and materials as reasonably necessary to evaluate, design, manufacture, repair, alter, document, and complete your order.

Customer-provided stones, metals, and jewelry may contain hidden damage, prior repairs, internal stress, treatments, inclusions, wear, or structural weaknesses. Removal, resetting, casting, polishing, heating, cleaning, resizing, repair, or alteration can reveal or worsen those conditions.

To the extent permitted by law, Buyastone is not responsible for loss or damage caused by a preexisting, undisclosed, or inherent condition in customer-provided materials when we have exercised reasonable care.

7. Shipping and Delivery

Shipping and delivery dates are estimates and may be affected by carrier delays, weather, supply availability, security reviews, or circumstances beyond our reasonable control.

You are responsible for providing a complete and accurate delivery address. Contact us immediately if an address is incorrect. Address changes are not guaranteed after an order has entered fulfillment.

You must inspect delivered packages and products promptly. Claims concerning shipping damage, an incorrect item, or a manufacturing defect must be submitted in accordance with our Return and Refund Policy.

Title and risk of loss transfer as provided by applicable law. Nothing in these Terms limits any obligation that cannot legally be waived.

8. Final Sales, Returns, and Refunds

All sales are final. We do not accept returns or exchanges and do not provide refunds except as expressly stated in our Return and Refund Policy or required by applicable law.

Our Return and Refund Policy is incorporated into these Terms.

9. Warranties and Product Care

Any written guarantee or warranty offered by Buyastone is governed by its applicable warranty terms. Warranty service is separate from the right to return an item and does not automatically entitle a customer to a refund.

Unless covered by an express written warranty or non-waivable law, warranty coverage does not include normal wear, scratches, accidental damage, loss, theft, improper care, misuse, chemical exposure, impact damage, stone loss caused by damaged settings, sizing changes, or work performed by another jeweler.

Customers are responsible for appropriate care, maintenance, cleaning, and periodic inspection of jewelry. Any warranty may be affected by unauthorized modification, repair, or alteration.

Nothing in these Terms excludes an express written warranty or a warranty or consumer right that cannot legally be excluded.

10. Acceptable Use of the Site

You may use the Site only for lawful personal or business purposes. You may not:

  • Violate any applicable law or regulation;

  • Submit false, misleading, fraudulent, or unauthorized orders;

  • Attempt to gain unauthorized access to the Site or another user’s information;

  • Introduce malware, harmful code, or disruptive technology;

  • Scrape, copy, reproduce, or exploit Site content without authorization;

  • Interfere with the Site’s security, availability, or operation;

  • Impersonate another person or misrepresent your identity; or

  • Use the Site to infringe another person’s intellectual-property, privacy, or other rights.

We may suspend or terminate access for conduct that violates these Terms or threatens the Site, Buyastone, or another person.

11. Intellectual Property

The Site and its text, photographs, graphics, logos, product names, videos, jewelry designs, CAD renderings, layouts, and other content are owned by or licensed to Buyastone and are protected by applicable intellectual-property laws.

These Terms give you a limited, revocable, nonexclusive right to use the Site for its intended purpose. They do not transfer ownership of any Buyastone intellectual property.

You may not reproduce, distribute, modify, sell, publish, create derivative works from, or commercially exploit our content or designs without prior written permission.

12. Third-Party Services and Links

The Site may use or link to third-party services, including payment processors, shipping carriers, social-media platforms, and Shopify. Third-party services are governed by their own terms and privacy practices.

We are not responsible for third-party websites, content, availability, security, or conduct. A link does not constitute our endorsement of the third party.

13. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Site, you acknowledge that information may be processed as described in that policy.

14. Electronic Communications

By contacting us, creating an account, approving a design, or placing an order, you consent to receive transactional communications electronically, including quotes, invoices, approvals, receipts, order updates, and policy notices.

Electronic records and approvals may be treated as written records to the extent permitted by law. This provision does not independently authorize marketing messages where separate consent is legally required.

15. Website Disclaimer

Except for any express written product warranty and rights that cannot legally be excluded, the Site and its general informational content are provided on an “as available” basis.

We do not guarantee that the Site will always be uninterrupted, secure, current, or error-free. Jewelry and diamond information on the Site is general educational information and is not financial, investment, insurance, tax, or legal advice. Jewelry, diamonds, and gemstones should not be purchased based on an expectation of appreciation, resale value, or investment performance.

16. Limitation of Liability

To the fullest extent permitted by law, Buyastone and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost opportunities, or lost data, arising from the Site, an order, or these Terms.

To the fullest extent permitted by law, Buyastone’s total liability arising from a product or service will not exceed the amount you paid to Buyastone for the specific product or service giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, personal injury caused by negligence, or any liability or consumer remedy that cannot legally be limited.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Buyastone and its owners, officers, employees, contractors, and agents from third-party claims, losses, or reasonable expenses arising from:

  • Your unlawful or unauthorized use of the Site;

  • Your material breach of these Terms;

  • Customer-provided content, designs, or materials that infringe another person’s rights; or

  • Fraudulent or intentionally wrongful conduct by you.

This section does not require you to indemnify Buyastone for Buyastone’s own negligence, willful misconduct, or violation of law.

18. Governing Law and Disputes

These Terms are governed by the laws of the U.S. state in which Buyastone maintains its principal place of business, without regard to conflict-of-law principles.

To the extent legally permitted, any court proceeding arising from these Terms or a purchase must be brought in a state or federal court serving the county in which Buyastone maintains its principal place of business. Each party consents to the jurisdiction of those courts.

This section does not prevent either party from bringing an eligible claim in small-claims court or exercising a consumer right that cannot legally be waived.

19. Force Majeure

Buyastone is not responsible for a delay or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, labor disruption, carrier delays, material shortages, government action, utility outages, internet failures, or similar events.

This section does not excuse obligations that applicable law does not permit us to excuse.

20. Severability and Waiver

If any provision of these Terms is found unenforceable, it will be enforced to the greatest extent permitted, and the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver of that provision or our right to enforce it later.

21. Entire Agreement

These Terms, the Return and Refund Policy, Privacy Policy, applicable warranty terms, and any accepted quote, invoice, design approval, or written project agreement constitute the agreement between you and Buyastone concerning the applicable transaction.

If a signed or expressly accepted project agreement conflicts with these Terms, the project agreement controls for that transaction.

22. Changes to These Terms

We may update these Terms from time to time by posting a revised version on the Site and changing the “Last updated” date.

Changes apply prospectively unless applicable law permits otherwise. The Terms in effect when an order is accepted will generally govern that order.
